Terms of Service

1. About these Terms

These Terms of Service ("Terms") govern your access to and use of the Flexo Africa Prepress Tools service available at tools.flexoafrica.com (the "Service"), provided by Flexo Africa (Pty) Ltd, a company registered in the Republic of South Africa, with its principal place of business in Durban, KwaZulu-Natal ("Flexo Africa", "we", "us", "our").

By creating an account, signing in, or otherwise using the Service, you ("User", "you", "your") agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. The Service

The Service provides web-based prepress tools for the flexographic printing industry, including (but not limited to) ink coverage calculators, file preflight, step-and-repeat, colour replacement, barcode verification, worksmap generation, and related utilities. The Service is offered on a subscription basis with a free tier and one or more paid tiers as published from time to time at tools.flexoafrica.com/pricing.html.

We may update, modify, add, or remove features at our reasonable discretion. We will give reasonable notice of material changes that adversely affect paying users.

3. Account registration

To use the Service, you must register an account by providing accurate, current and complete information, including a valid business email address, a company name, and a password of at least 8 characters. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must promptly notify us at flexoafrica@gmail.com if you suspect any unauthorised access to your account.

You confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have authority to bind the company you represent.

4. Subscriptions, fees and billing

Paid subscriptions are billed monthly or annually in advance via PayFast (Pty) Ltd, our payment processor. By subscribing, you authorise us to charge the payment method registered with PayFast for the applicable subscription fee until you cancel.

You may upgrade, downgrade or cancel your subscription at any time from your account page. Cancellations take effect at the end of the current billing cycle — we do not pro-rate refunds for partial periods. Downgrades reduce your feature access at the end of the current billing cycle.

Prices may change with reasonable notice; the new price will apply at your next renewal.

6. Your content and intellectual property

You retain all rights, title and interest in any artwork, PDFs, images, or other files you upload to the Service ("Your Content"). By uploading Your Content you grant Flexo Africa a limited, non-exclusive, royalty-free licence to host, process, modify and display it solely for the purpose of providing the Service to you.

We do not claim ownership of Your Content. We will not share Your Content with third parties except as needed to operate the Service (e.g. cloud storage, payment processing) or as required by law.

The Service itself, including all software, tool logic, designs, trademarks, and trade dress, is and remains the exclusive property of Flexo Africa or its licensors.

7. Output, accuracy and professional judgement

The Service produces outputs such as worksmaps, preflight reports, ink coverage calculations, and similar artefacts intended as aids to a flexo prepress operator. We do not guarantee that any output is free from defects, errors, or omissions, and outputs should be reviewed by a competent operator before being used in production.

Flexo Africa is not responsible for losses arising from reliance on Service output that was not independently verified prior to plate-making, printing, or other commercial use.

8. Service availability

We strive for high availability but do not guarantee uninterrupted service. The Service may be temporarily unavailable due to maintenance, hosting-provider issues, or events beyond our reasonable control. We are not liable for any losses arising from such interruptions.

9. Termination

You may terminate your account at any time by cancelling your subscription and contacting us to remove your data. We may suspend or terminate your access if you materially breach these Terms, fail to pay subscription fees, or use the Service in a way that exposes Flexo Africa to legal or reputational risk. We will give reasonable notice except in cases of serious or repeated breach.

On termination, your right to use the Service ceases and we may delete your account data after a reasonable grace period.

10. Limitation of liability

To the maximum extent permitted by South African law, Flexo Africa's total aggregate liability arising from or related to the Service, whether in contract, delict, or otherwise, is limited to the lesser of (a) the subscription fees actually paid by you in the twelve (12) months preceding the event giving rise to the claim, or (b) ZAR 5,000.

We are not liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities.

Nothing in these Terms limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot lawfully be excluded under the Consumer Protection Act, 2008 or other applicable South African law.

11. Indemnity

You agree to indemnify and hold harmless Flexo Africa, its directors, employees and contractors from any claims, damages, losses, or costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or content you upload.

12. Changes to these Terms

We may amend these Terms from time to time. Material changes will be communicated by email to your registered address and posted on this page. Continued use of the Service after the effective date of any change constitutes your acceptance of the amended Terms.

13. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of South Africa. Disputes will, in the first instance, be resolved by good-faith negotiation between the parties. Failing that, the parties submit to the exclusive jurisdiction of the South African courts having jurisdiction over Durban, KwaZulu-Natal.
